 BY-LAWS OF THE GRAPEVIEW COMMUNITY ASSOCIATION
Revised November 11, 2005

 ARTICLE I
 Name

The name of this organization shall be the Grapeview Community Association.

 ARTICLE 11
Object

The object of this Association shall be to promote the material and social welfare of the community; to encourage community spirit; and to cooperate with other civic organizations for mutual benefit.

 ARTICLE III
 Policy

Section 1.         This Association shall be non-political, non-partisan, and non-sectarian. 
Section 2.         This Association shall be an equal opportunity Association.  Persons will be welcome to join regardless of race, color, creed, sex, or age. 
Section 3.         This Association shall be organized as a non-profit corporation.

 ARTICLE IV
 Membership

Section 1.         In general, any person ten (10) years of age or over, living in Grapeview or the immediate adjacent territory, or whose interests are logically vested in this community, may  become a member of the Association. 
Section 2.         The Association will offer two types of membership: Voting and Non-voting. 
Section 3.         Voting Members shall be 18 years of age or older and shall have paid the appropriate dues as set forth in the Standing Rules.
Section 4.         Non-voting Members
                        A.        Associate Members.   Shall be ten (10) years of age or older and shall have paid the appropriate dues as set forth in the Standing rules. 
                        B.         Honorary Members.  Shall be elected by the membership upon recommendation by the Executive Board.

 ARTICLE V
 Meetings

Section 1.         There shall be regular meetings of the Association with dates and time as set forth in the Standing Rules.
Section 2.         A meeting shall be held in the month of November for the purpose of electing officers for the new year. 
Section 3.         An annual meeting shall be held in January to hear reports of the last year's work, to install officers, and to consider any other business which shall properly be presented. 
Section 4.         Special meetings may be called by the Executive Board; or by petition, in writing, of ten (10) members of the Association. 
Section 5.         Notice of any meeting, including the purpose, shall be given two weeks in advance of the meeting.
Section 6.         A quorum shall consist of thirty (30)-voting members of the Association.

ARTICLE VI
Officers

Section 1.         The officers of the Association shall be a President, Vice-President, Secretary, Treasurer, and two (2) Trustees. 
Section 2.         The President, Vice-President, Secretary, and Treasurer shall serve for a term of one (1) year.  The Trustees shall serve a two- (2) year term, with one (1) trustee elected every year.  Trustees, if properly nominated and elected may serve more than one term.

 ARTICLE VII
Duties of Officers

 Section 1.         The President shall preside at all meetings of the Association and Executive Board; appoint Committees, subject to the approval of the Executive Board; and perform all other duties pertaining to the office.

Section 2.         The Vice-President shall, in the absence of the President, preside at meetings of the Association and Executive Board; and if the President is not able to perform his/her duties, the Vice-President shall perform those functions. 

Section 3.         The Secretary shall keep an accurate record of all meetings, carry on all correspondence of the Association, be the custodian of the Association files, and perform all other duties pertaining to the office.

Section 4.         The Treasurer shall receive all funds of the Association; pay all bills authorized by the Association or the Executive Board; and keep an accurate record of all receipts and disbursements.

Section 5.         The Trustees- shall be the legal representatives of the Association and shall sign any legal documents relating to any transactions approved by the membership.

ARTICLE VIII
Elections

 Section 1.         The annual election of officers shall be held at the November meeting.  New officers will take office at the January meeting. 

Section 2.         By October 15, the President shall appoint a Nominating Committee of three (3), which shall nominate candidates for office at the November meeting.  Nominations may be make from the floor, provided that the person nominated has agreed to serve in the office if elected.

Section 3.         Vacancies in office shall be filled by appointment of the Executive Board until the next regular election.

 ARTICLE IX
Executive Board

Section 1.         The Executive Board shall consist of the President, Vice-President, Secretary, Treasurer, the two (2) Trustees, the immediate Past President, and the Chairpersons of the Standing Committees.

Section 2.         The Executive Board shall carry on the routine business of the Association.  It may not sell or purchase property; it may not encumber the Association beyond the limit of its current financial resources; it may not amend the By-Laws without a vote of the membership; it may not dissolve the corporation without a vote of the membership.

Section 3.         A quorum shall consist of a majority of the members of the Board.

Section 4.         The Board shall meet at the call of the President, or by petition of any member of the Board.  All meetings shall be routinely announced and shall be open to the membership.

 ARTICLE X
Fiscal Year

 The fiscal year shall be January 1 through December 31 

ARTICLE XI
Procedures

 All meetings shall be conducted in accordance with Robert's Rules of Order - using the most recent revised edition.

ARTICLE XII
Dissolution

In the event of the Dissolution of the Grapeview Community Association, any and all monies and assets shall be turned over to a local community non-profit charitable organization to be determined by the membership.

 ARTICLE XIII
Amendments

Section 1.         These By-Laws may be amended by a two-thirds vote of the members in attendance and voting at any regular meeting of the Association, provided that a copy of such proposed amendment or change shall have been filed with the Secretary and read to the Association at the previous regular meeting, The membership shall be notified of the meeting at which the contemplated change is to be read and of the meeting at which it will be voted on.

Section 2.         The Standing Rules may be amended by a majority vote of the membership at any meeting of the Association provided that the membership has been notified in writing of the proposed change in the Standing Rules and the date and time of the meeting at which the vote will be taken. 

STANDING RULES

1.         Dues Schedule:

A.        Voting Members 
                            Single individual, 21 or older - $10.00
                            Single individual, 18-20 - $5.00 

B.        Non-voting Members
    Associate Member $2.50
    Honorary Member (No dues)

C.        Family Membership (for parents and children)
    Two voting individuals - $15.00
    Unemancipated young people 18-20 - $4.00 each
    Young people 10-17 - $1.00 each

           D.        The Dues Year shall be from January 1 to December 31.

 2.         The President, Vice-President, Secretary and Treasurer shall be authorized to sign checks.  One signature is required on each check.

 3.         The business address of the Grapeview Community Association is Box 355 , Grapeview , WA 98546 .

 4.         The dates and times of the Association meetings shall be determined by the Executive Board. 

 5.         Agenda items should be called in to the President seven days prior to the scheduled meeting.

 6.         The offices of Secretary and Treasurer may be combined by action of the Executive Board.  However, the person serving in the combined capacity shall have only one (1) vote in any deliberations.

 7.                  The President shall appoint the Chairpersons of the Standing Committees from among the voting membership of the Association.

 8.                  Grapeview Community Association equipment may be loaned to current members of the organization for a fixed fee, donation or at no charge.  A check out form will be used to manage and control loaned equipment.
